Terms of Service

2.1 B2B Only Services

Ailotsafety exclusively provides Business-to-Business (B2B) services. We do not engage in retail business or sell directly to individual consumers. Our services are intended solely for:

• International brands seeking product development
• Wholesalers and distributors
• E-commerce sellers requiring customization
• Importers and trading companies
• Companies building private-label products

2.2 Professional Manufacturing

We specialize in OEM/ODM manufacturing of fall protection and climbing equipment, including hardware accessories, harnesses, lanyards, and rope rescue systems.

3.1 Quotation Process

All quotations are provided based on specific requirements and are valid for 30 days unless otherwise stated. Prices may vary based on order quantity, customization requirements, materials, and market conditions.

3.2 Order Confirmation

Orders are confirmed only upon written acceptance by Ailotsafety and receipt of required deposits. All specifications, quantities, delivery dates, and terms must be agreed upon in writing.

3.3 Minimum Order Quantities

Minimum order quantities (MOQ) apply to all products and will be specified in quotations. Custom products may have higher MOQ requirements.

4.1 Payment Schedule

Standard payment terms require a deposit upon order confirmation, with the balance due before shipment. Specific payment schedules will be outlined in individual contracts.

4.2 Late Payments

Late payment fees may apply to overdue accounts. Ailotsafety reserves the right to suspend production or shipment for accounts with outstanding balances.

5.1 Quality Standards

All products are manufactured according to agreed specifications and applicable safety standards. We maintain strict quality control throughout the production process.

5.2 Certifications and Compliance

Products requiring specific certifications or compliance standards must be clearly specified during the quotation process. Additional costs and lead times may apply for certification requirements.

5.3 Inspection and Testing

Customers may arrange for pre-shipment inspection at our facility. Any testing requirements must be agreed upon in advance and may incur additional costs.

6.1 Customer Designs

Customers retain ownership of their proprietary designs, trademarks, and intellectual property. Ailotsafety agrees to maintain confidentiality and not reproduce customer designs for other parties.

6.2 Ailotsafety Property

Ailotsafety retains ownership of its manufacturing processes, technical know-how, and standard product designs unless specifically transferred under separate agreement.

7.1 Delivery Terms

Delivery terms will be specified in individual contracts using standard Incoterms. Risk of loss transfers to the buyer according to the agreed delivery terms.

7.2 Delays

While we strive to meet delivery schedules, delays may occur due to circumstances beyond our control. We will communicate any potential delays promptly and work to minimize impact.

8.1 Product Warranty

We warrant that products will conform to agreed specifications at the time of delivery. Any defects must be reported within a reasonable time after delivery.

8.2 Limitation of Liability

Our liability is limited to the replacement or repair of defective products. We shall not be liable for consequential, incidental, or indirect damages arising from the use of our products.

10.1 Termination Rights

Either party may terminate the business relationship with written notice. Existing orders and contracts remain binding unless mutually agreed otherwise.

10.2 Immediate Termination

We reserve the right to immediately terminate services in case of breach of these terms, non-payment, or illegal activities.

11.1 Governing Law

These Terms of Service are governed by the laws of the People's Republic of China. Any disputes shall be subject to the jurisdiction of courts in Shenzhen, Guangdong Province.

11.2 Dispute Resolution

We encourage resolution of disputes through direct negotiation. If necessary, disputes may be submitted to arbitration in accordance with applicable arbitration rules.
